Effective 10 August 2026. These terms govern all services provided by DuneWave Marketing FZ-LLC ("DuneWave", "we"), a Free Zone Limited Liability Company registered with the Ras Al Khaimah Economic Zone Authority under Services Licence No. 47021863.
1. Services
DuneWave provides marketing management services, including marketing strategy, brand positioning, planning and management of content, channel and paid media programmes, coordination of production and media partners, partnership management and performance reporting. The specific scope, deliverables, timelines and fees for each client are defined in a written proposal or services agreement signed by both parties. Only the signed scope is binding.
2. Fees and payment
Services are billed as monthly retainers or fixed project fees as set out in the applicable proposal. Invoices are issued in advance and are payable within the period stated on the invoice. Third party costs, including advertising spend, are the client's responsibility and are either paid directly by the client or invoiced at cost with prior written approval.
3. Client obligations
The client will provide timely access to accounts, brand assets and approvals reasonably required to deliver the services. Delays caused by missing inputs may shift timelines without reducing fees.
4. Intellectual property
On payment in full, deliverables created specifically for the client are assigned to the client. DuneWave retains ownership of its pre existing materials, processes and tools, and grants the client a licence to use them as embedded in the deliverables.
5. Term and termination
Retainer engagements continue month to month and may be terminated by either party with thirty days written notice. Fees for work performed up to the effective date of termination remain payable.
6. Liability
Marketing outcomes depend on factors outside any agency's control and no specific commercial result is guaranteed. DuneWave's total liability under any engagement is limited to the fees paid for the month in which the claim arises. Nothing in these terms excludes liability that cannot be excluded under applicable law.
7. Governing law
These terms are governed by the laws and regulations applicable in the Emirate of Ras Al Khaimah and the United Arab Emirates, including the rules of the Ras Al Khaimah Economic Zone Authority. Disputes are subject to the exclusive jurisdiction of the competent courts of Ras Al Khaimah.
